TERMS AND CONDITIONS OF THE REFERRAL PROGRAM

Version in force from 01/08/2026 through 31/12/2026.

NOTICE OF ACCEPTANCE: By taking part in the Referral Program, whether by sharing their Berry ID with third parties or by entering another user's Berry ID during the registration process, the User declares that they have read, understood and fully accepted these Terms and Conditions of the Referral Program (the “Program T&C”). These Program T&C supplement the General Terms and Conditions of the Platform (the “General T&C”) and Berry's Privacy Policy, previously accepted by the User, without amending or replacing them. In the event of a conflict between these Program T&C and the General T&C, these Program T&C shall prevail solely with respect to the Referral Program.

Article 1. Purpose and scope

These Program T&C govern the conditions under which Berry Tech Inc. (“Berry”), a company incorporated and registered in the British Virgin Islands (BVI) under BVI Company Number 2142653, with registered office at OMC Chambers, Wickhams Cay 1, Road Town, Tortola, British Virgin Islands, offers holders of a Platform account the possibility of obtaining a financial reward for introducing new users to the Platform (the “Program”).

Participation in the Program is voluntary and free of charge. No User is required to take part in the Program in order to access the Services of the Platform, nor does non-participation affect in any way the terms of use of their account.

The Program is available only in those jurisdictions in which the Platform is enabled in accordance with the General T&C. Berry may restrict the availability of the Program in particular jurisdictions, at its sole discretion and without having to state a reason.

Article 2. Definitions

For the purposes of these Program T&C, the following terms shall have the meaning assigned to them below:

  • “Referrer”: the User holding a Platform account whose Berry ID is entered by a Referred User during the latter's registration process.

  • “Referred User”: the natural person who registers on the Platform for the first time and enters a Referrer's Berry ID during their registration process, in accordance with Article 4.

  • “Berry ID”: the unique username associated with each Platform account, which acts as the Referrer's identifier for the purposes of the Program.

  • “Registration”: the moment the Referred User's account is created on the Platform. The Registration date and time recorded in Berry's systems is the milestone from which the Qualification Window is counted.

  • “Qualification Window”: the period of one hundred and sixty-eight (168) consecutive hours, equivalent to seven (7) calendar days, counted from the Referred User's Registration, within which the Referred User must complete the Qualifying Event in full.

  • “Qualifying Event”: the set of cumulative conditions defined in Article 5, the full satisfaction of which within the Qualification Window gives rise to the accrual of the Reward.

  • “Reward”: the amount of USD 5.00 (five United States dollars) that Berry credits to the Referrer for each Referred User who completes the Qualifying Event, on the terms of Articles 6 and 7.

  • “Locked Balance”: the portion of the total balance of the Referrer's account which, as a result of one or more Rewards being credited, is not available for withdrawal during the Lock Period, in accordance with Article 6.

  • “Lock Period”: the period of ninety (90) calendar days applicable individually to each Reward credited, counted from the date it is credited.

  • “Program Cap”: the maximum limit of Rewards that a single Referrer may obtain under the Program, as set out in Article 7.

Terms not defined herein shall have the meaning given to them in the General T&C.

Article 3. Eligibility and exclusions

3.1. Referrer requirements

In order to obtain a Reward, the Referrer must, at the time the Referred User completes the Qualifying Event, concurrently satisfy the following conditions:

  • Be the holder of an active account on the Platform.

  • Be verified and approved under Berry's KYC process.

  • Not be suspended, blocked or subject to any restrictive measure on their account.

  • Not be a Disqualified Person within the meaning of the General T&C.

If, at the time the Referred User completes the Qualifying Event, the Referrer does not satisfy all of the preceding conditions —including, without limitation, where their account has been deleted, closed or suspended, or where they have not obtained KYC approval— the Reward shall be definitively and irrecoverably forfeited. Subsequently regularizing the Referrer's situation shall not give rise to the retroactive crediting of that Reward or to any compensation.

3.2. Referred User requirements

Only natural persons who register on the Platform for the first time and who are not, and have not previously been, holders of a Platform account may count as Referred Users. The reopening, reactivation or duplication of a pre-existing account does not generate any Reward.

Article 4. Linking mechanics

4.1. Declaration during registration

The link between Referrer and Referred User is established exclusively by the Referred User entering the Referrer's Berry ID in the field provided for that purpose during the Platform registration process.

4.2. No subsequent declaration

The Referrer's Berry ID may only be entered during the registration process, prior to the effective creation of the Referred User's account. It is not possible to declare, add, correct or amend the referral after that moment, through any channel or under any circumstances. Requests to link after the fact, on whatever basis, shall be rejected and shall not give rise to any Reward.

4.3. Irreversibility and uniqueness

The link is unique, final and irrevocable: each Referred User may be linked to one (1) single Referrer, and that link may not subsequently be substituted, transferred or canceled.

4.4. No retroactive effect

The Program does not apply retroactively. Users registered before these Program T&C came into force, or registered without having entered a Berry ID during their registration process, do not count as Referred Users and do not generate any Reward.

Article 5. Qualifying Event and accrual

5.1. Cumulative conditions

The Reward accrues in favor of the Referrer only when the Referred User completes, in full and within the Qualification Window, all of the following conditions:

  • Having validly entered the Referrer's Berry ID during their registration process, in accordance with Article 4.

  • Having successfully created their account on the Platform.

  • Having completed the identity verification (KYC) process and obtained effective approval from Berry.

  • Having made a deposit credited to their account for an amount equal to or greater than the minimum deposit in force, which is published on the Platform and may be amended by Berry at any time. For the purposes of the Program, only deposits originating from a source external to the Platform shall count, meaning fiat currency transfers from a bank account or virtual wallet held by the Referred User, and Digital Asset transfers from an external wallet of a third party unrelated to Berry.

The following shall under no circumstances count as a qualifying deposit: (i) internal transfers between Platform accounts, whatever mechanism is used, including transfers by Berry ID; (ii) funds originating from wallets, vaults or custody accounts operated by Berry or by its custody providers; (iii) amounts credited as Program Rewards, promotional bonuses or other benefits granted by Berry; and (iv) any credit that does not represent a genuine inflow of funds from a source external to the Platform.

The conditions listed are cumulative. Partial satisfaction does not generate a Reward, a contingent right, or any proportional credit of any nature.

5.2. Qualification Window

The Referred User must complete all of the conditions in Article 5.1 within one hundred and sixty-eight (168) consecutive hours counted from their Registration. Once the Qualification Window has expired without all of the conditions having been satisfied, the referral lapses automatically and definitively by operation of law, with no need for prior notice or any act on Berry's part. Subsequent satisfaction of the conditions does not reactivate the lapsed referral and does not generate a Reward.

5.3. Time of accrual

The Reward is deemed to have accrued at the moment satisfaction of the last of the conditions in Article 5.1 is verified within the Qualification Window, according to the records of Berry's systems, which shall constitute sufficient evidence for all purposes.

Article 6. Reward: amount, crediting and availability

6.1. Amount

The Reward amounts to USD 5.00 (five United States dollars) for each Referred User who completes the Qualifying Event, subject to the Program Cap set out in Article 7.

6.2. Crediting

The Reward is credited to the Referrer's Platform account, in Digital Dollars, within forty-eight (48) business hours following accrual. That period may be extended where crediting is subject to additional checks under Articles 9.3 and 9.4, or in the event of technical interruptions or force majeure events.

6.3. Availability lock

Each Reward credited generates a Locked Balance equal to its amount, for a Lock Period of ninety (90) calendar days counted individually for each Reward, from its respective crediting date. Accordingly, where a Referrer obtains multiple Rewards, each of them shall have its own Lock Period with an independent expiry.

6.4. Nature of the lock

The lock operates as an amount-based limit on the total balance of the Referrer's account, and not on individualized or identifiable funds. During the Lock Period, the Referrer may not withdraw from their account an amount that would bring the resulting total balance below the Locked Balance then in force.

6.5. Permitted and restricted uses

During the Lock Period, the Locked Balance may be used for all operations available on the Platform, including buying and selling stocks, ETFs and prediction markets.

During the Lock Period, the Locked Balance may not be used for: (i) fiat currency withdrawals; (ii) withdrawals in Digital Assets or cryptocurrencies to external wallets; or (iii) transfers to other Platform Users by Berry ID or any other internal transfer mechanism.

Where the User takes part in more than one Berry promotional program, the Locked Balances of each program accumulate and apply jointly to the total balance of the account.

6.6. Erosion of the Locked Balance

The Referrer expressly acknowledges and accepts that using the Locked Balance to trade is not free of risk. If, as a result of losses on the trades carried out, the total value of the Referrer's account falls below the Locked Balance then in force, the Locked Balance shall be reduced by the same amount and that reduction shall be final. The Locked Balance is not restored or reinstated if the account value subsequently recovers, nor does it give rise to any claim, compensation or re-crediting on Berry's part.

6.7. Release

Once the Lock Period for each Reward has expired, the restriction is released automatically, with no need for any request, procedure or action on the Referrer's part.

6.8. Taxes

The Referrer shall be solely responsible for determining, declaring, settling and paying all taxes, duties and contributions that may be payable in their jurisdiction of tax residence as a result of obtaining Rewards under the Program. Berry assumes no obligation to determine, withhold, collect, report or pay any tax on the Referrer's behalf.

Article 7. Caps and limits

Each Referrer may obtain a maximum of fifty (50) Rewards under the Program, equivalent to a maximum cumulative amount of USD 250.00 (two hundred and fifty United States dollars).

The Program Cap is calculated cumulatively over the entire term of the Program and does not reset for any period. Once the Program Cap has been reached, additional Referred Users who complete the Qualifying Event shall not generate a Reward, and this shall not entitle the Referrer to any claim, compensation or deferred crediting of any nature.

Article 8. Prohibited conduct

The following conduct is expressly prohibited and constitutes a breach of these Program T&C and of the General T&C:

  • Creating, managing or using more than one account per person, as well as self-referral through one's own accounts.

  • Using personal data, identity documents or biometric elements belonging to others, or that are forged, altered or artificially generated, in order to pass the KYC process.

  • Making deposits for the sole purpose of triggering the Qualifying Event, without a genuine intention to use the Services of the Platform.

  • Recruiting Referred Users through deceptive practices, false information or promises not contemplated in these Program T&C.

  • Distributing the Berry ID through unsolicited bulk email, unauthorized advertising, impersonation of Berry's identity or brand, or any practice that could damage Berry's reputation.

  • Using automated systems, bots, scripts or any mechanism intended to generate registrations artificially or in bulk.

  • Any other conduct that, in Berry's reasonable judgment, has the purpose or effect of obtaining Rewards outside the purpose of the Program.

  • Funding, in whole or in part, a Referred User's qualifying deposit with funds of the Referrer or from accounts, wallets or instruments under their control, as well as using internal Platform transfers, including those made by Berry ID, or funds originating from wallets or vaults operated by Berry, in order to simulate satisfaction of the Qualifying Event.

Article 9. Consequences of breach

9.1. Identity duplication

The Platform allows one (1) single account per verified identity. Where identity duplication is detected, Berry may decline to credit the Rewards linked to the duplicate registrations, or revoke and debit those already credited, with no need for prior notice and without this giving rise to any claim, compensation or indemnity in favor of the Referrer.

9.2. Other breaches

Upon verification of any of the conduct described in Article 8, Berry may, cumulatively or alternatively and at its sole discretion: (i) decline to credit the Rewards concerned; (ii) revoke and debit Rewards already credited and not yet released; (iii) permanently exclude the Referrer from the Program; and (iv) suspend or cancel the Referrer's account in accordance with the regime set out in the General T&C, without prejudice to any legal action that may be appropriate.

9.3. Reservation of verification

Berry reserves the right to verify compliance with the conditions of the Program at any time, and to require from the Referrer or the Referred User any additional documentation or information it deems necessary for that purpose. Failure to provide the information requested within the period indicated shall entitle Berry to decline to credit or to revoke the Rewards concerned.

9.4. General power of review and revocation

Berry reserves the right to review, audit and verify, at any time and by such means as it deems appropriate, all transactions, operations, movements of funds, access logs and other actions linked to a Referrer's or a Referred User's participation in the Program.

Berry may suspend crediting, revoke and debit any Reward, and exclude the Referrer from the Program, where that review shows, in Berry's reasonable judgment, that the participant has not acted in good faith or has obtained or sought to obtain Rewards through conduct contrary to the purpose of the Program. This power applies regardless of whether the conduct in question is expressly listed in Article 8 of these Program T&C. The list contained in that Article is illustrative and not exhaustive, and may not be construed as implicit authorization of conduct not set out there.

Article 10. Promotional nature of the Program

The Program is a voluntary and unilateral promotional initiative of Berry. Participation in the Program does not give the Referrer any vested right to its continuation, to the permanence of its terms, or to obtaining future Rewards.

The Rewards do not constitute remuneration, commission, fees, payment for services, or consideration of an employment, corporate, agency, brokerage or intermediation nature of any kind. The Referrer acts on their own account and in their own interest and does not acquire, by participating in the Program, the status of agent, representative, attorney-in-fact, collaborator or adviser of Berry, nor may they claim such status before third parties.

Participation in the Program does not constitute financial advice or an investment recommendation of any nature, and the provisions of the General T&C on the absence of financial or legal advice apply in full.

Article 11. Third-party personal data

A Referrer who shares their Berry ID with third parties in order to take part in the Program declares and warrants that they do so by lawful means and in compliance with the personal data protection rules applicable in their jurisdiction, refraining from using contact databases obtained without the relevant consent.

Berry shall not disclose to the Referrer any personal, financial or operational information about Referred Users. The Referrer may only view the aggregate information on the status of their referrals that Berry makes available on the Platform.

The processing of the personal data of the Referrer and of Referred Users is governed by Berry's Privacy Policy.

Article 12. Term, amendment and termination of the Program

The Program comes into force on the date indicated at the beginning of these Program T&C and shall remain in force until 31 December 2026, without prejudice to Berry's power to suspend or terminate it earlier in accordance with this Article.

Termination of the Program on expiry of its term shall not affect Rewards accrued before that date. The provisions of Articles 6, 8 and 9 shall remain in full force with respect to those Rewards until the expiry of their respective Lock Period, even where this occurs after 31 December 2026.

Berry reserves the right to amend these Program T&C, as well as the parameters of the Program —including, without limitation, the amount of the Reward, the Program Cap, the minimum deposit, the Qualification Window and the Lock Period— at any time, on a minimum of seven (7) calendar days' prior notice given through the Platform and/or by email. Amendments shall come into force once that period has elapsed and shall apply to referrals generated thereafter.

Berry may suspend or terminate the Program at any time, at its sole discretion and without stating a reason, by notice through the Platform and/or by email. Termination of the Program shall not affect Rewards already accrued before the effective date of termination, which shall be credited and released in accordance with these Program T&C. Referrals in progress that have not completed the Qualifying Event by that date shall not generate a Reward.

Article 13. Enquiries and complaints

The Referrer may direct any enquiry, complaint or claim relating to the Program to [email protected]. Berry will endeavor to respond within a reasonable time.

The records of Berry's systems relating to Registration, linking, identity verification, deposits, and the accrual and crediting of Rewards shall constitute sufficient evidence for all purposes of the Program, save for conclusive evidence to the contrary.

Article 14. Governing law and dispute resolution

These Program T&C are governed by and construed in accordance with the laws of the British Virgin Islands (BVI).

Any dispute arising out of or relating to these Program T&C shall be resolved in accordance with the direct negotiation and arbitration procedure set out in the General Terms and Conditions of the Platform, available at https://berry.app/terms-and-conditions, the terms of which are deemed incorporated herein in full by reference and which the User declares they know and accept.

If any provision of these Program T&C is declared void, unlawful or unenforceable, this shall not affect the validity or enforceability of the remaining provisions, which shall remain in full force and effect.
